Agreement to Terms

01 — Overview

These Terms and Conditions govern all services provided by Artman Studio Design Inc. ("the Studio," "we," "us") to you ("the Client"). By engaging our services — whether through a signed proposal, verbal agreement, payment, or email confirmation — you agree to be bound by these terms in full.

Artman Studio Design is a solo graphic design and illustration studio based in Rochester, New York, specializing in brand identity, print design, illustration, and marketing collateral. These terms apply to all projects regardless of scale, budget, or delivery format.

02 — Services & Scope

Services & Project Scope

Each project begins with a defined scope of work — outlined in a formal proposal, project brief, or written email summary. The scope establishes deliverables, timelines, and inclusions. Work outside the agreed scope will be quoted and approved separately. The Studio reserves the right to decline any project that conflicts with our values, creative standards, or capacity.

All project details must be confirmed in writing before work commences
Timelines are estimates and may shift based on Client feedback delays or scope changes
Rush fees may apply for projects requiring delivery within 72 hours
The Studio is not responsible for delays caused by Client failure to provide content, approvals, or feedback in a timely manner
Subcontractors may be engaged for specific tasks (printing, photography) with Client notification

03 — Payment Terms

Payment Terms

Unless otherwise stated in a project proposal, all projects require a non-refundable deposit before work begins. This reserves your place in the Studio's schedule and covers initial research, concepting, and setup time.

Standard deposit: 50% of total project fee, due before kickoff
Remaining balance: due upon final file delivery or project sign-off
Final files are not released until payment is received in full
Invoices unpaid after 14 days incur a 1.5% monthly late fee
Accepted payment methods are stated on each invoice
All prices are in USD

Note on deposits: The deposit is non-refundable because it represents real time, resources, and opportunity cost. If a project is cancelled after deposit, the Studio retains those funds regardless of how far work has progressed.

04 — Revisions & Approvals

Revisions & Client Approvals

Every project includes a defined number of revision rounds as specified in the proposal. A "revision round" is a consolidated set of feedback submitted at one time — not a series of individual requests sent separately.

Revision rounds included per project are noted in your proposal
Additional revision rounds are billed at the Studio's hourly rate
Change of direction or concept restarts are billed as new project phases
Client approval (written or via email) at each milestone signifies acceptance of that phase
Approved work later changed at the Client's request will be billed additionally

Clear, consolidated feedback makes better work. We ask for structured input — not real-time edits or late-stage concept pivots.

05 — Intellectual Property

Intellectual Property & Copyright

All original work created by Artman Studio Design is the intellectual property of the Studio until full payment is received. Upon final payment, usage rights transfer to the Client as specified below.

The Client receives full commercial usage rights to final approved deliverables
Unused concepts, rejected directions, and preliminary sketches remain Studio property
The Studio retains the right to display all completed work in its portfolio and marketing
The Studio retains moral rights as the originating creator on all illustration work
Source files (AI, PSD, INDD) transfer only if explicitly included in the project scope
The Client may not alter, sublicense, resell, or claim authorship of Studio-created work

On original illustration: Noel's work reflects a distinct artistic perspective developed through formal education and years of independent practice. Attribution is appreciated and, in some cases, contractually required.

06 — Confidentiality

Confidentiality

The Studio treats all Client information, project details, and business strategy shared during engagements as confidential. We do not share, sell, or disclose Client information to third parties except as required to fulfill the project (e.g., printers, platforms).

In return, Clients agree not to disclose the Studio's unpublished concepts, proprietary processes, or pricing structures to third parties without written consent.

07 — Cancellations & Refunds

Cancellation & Refund Policy

If a Client wishes to cancel a project after work has begun, the following applies:

The deposit (50%) is non-refundable in all cases
Work completed up to the point of cancellation is billed at the Studio's hourly rate, up to the full project fee
Any balance owed beyond the deposit is due upon cancellation
Completed and approved deliverables up to that point are released upon full payment
The Studio reserves the right to cancel a project if the Client becomes unresponsive for 30+ consecutive days, retaining the deposit

Refunds are not issued for completed work, delivered files, or approved stages. If you're unhappy with a direction, raise it early — we'd rather course-correct than part ways.

08 — Limitation of Liability

Limitation of Liability

Artman Studio Design provides creative services in good faith and to the best of its professional ability. The Studio is not liable for any indirect, incidental, or consequential damages arising from the use of delivered work — including but not limited to lost revenue, business disruption, or third-party claims.

The Client is responsible for ensuring that provided content does not infringe on third-party rights. The Studio is not liable for intellectual property issues arising from Client-supplied materials. In any dispute, the Studio's liability is limited to the total amount paid by the Client for the specific project in question.
